    Prepare legal memoranda containing analysisof legal and/or maritime business issues and recommendations onappropriate courses of action; Provide legal advice and counsel tothe maritime & offshore related business unit personnel andmanagement on issues relating to contractual transactions, tendersand terms & conditions;


    • Review, draft,amend and negotiate legal aspects of commercial contracts, tenderdocuments, charter-parties, business/purchase agreements, generalterms and conditions, non-disclosure agreement, contracts, etc andother agreements to ensure effective implementation of allcontractual terms and conditions;
    • Providead-hoc advice on specified legal topics concerning maritime& offshore business units on matters related to contractual& commercial agreements, maritime laws (including cabotagelaws), port and crew issues, agency matters, and issues onday-to-day shipping activities;
    • Negotiate,draft, amend and review all corporate/support services andnon-maritime commercial related agreements (includingtender-documents and real-estate agreements) to identify areas oflegal risks, liabilities & financial implications and toensure their alignment with the company's business interestand effectively communicate all legal concepts and risks torespective maritime & offshore BU;
    • Provide support to and share domain-knowledge with thecross-functional teams on all major transactions like acquisitions,mergers, JV's, partnerships, legal restructuring,deal-structuring, financing and investments.
    • Follow up with official authorities (such as flag-state, ministriesetc) on keeping certificates, licenses and registrations of vesselsand maritime assets valid/renewed as required by the relevant lawsand regulations.
    • Monitor and analyze locallegislations and regulations which may impact Milaha'soperations and business units; Submit regular reports withrecommendations to the SLC-M&O;
    • Review(or oversee review), assess and analyse tenders and documentsrelated to the Section, taking into consideration every legalliability, to minimise discrepancies and ensure compliance withMilaha policies and procedures;
    • Engage (oroversee) in legal research relating to various legal and businessmatters on maritime and offshore sector; and provideSLC-M&O and VP with analysis and advice regarding potentiallegal risks and liabilities;
    • Liaise with otherLegal Department team members in supporting and sharing domainexpertise as and when required; Work in coordination with them inyour respective activities and functions.
    • Implement legal processes to ensure Milaha's privileges,obligations, and rights; and propose necessary amendments in orderto safeguard Milaha's interests; Participating inestablishing and implementing training programs as and whennecessary.
    • Evaluate, appoint, deal with, andfollow up with assigned external counsel/consultancy firm in anytransaction or advisory work.
