    KEY ROLE ACCOUNTABILITIES Board MeetingManagement

    • Schedules and coordinates board meetings,including setting agendas, securing meeting locations, anddistributing notifications of the meetings.
    • Ensurestimely distribution of meeting materials, reports, and relevantdocuments to board members in a timely manner and allconfidentiality and quality standards are maintained at all times.
    • Ensures official documentation includingChairperson's Decisions and Resolutions are officiallyrecorded and archived as outlined in the Sidra Bylaws. MeetingSupport
    • Attends board meetings to take accurate minutes,record decisions, and document discussions where required.
    • Compiles meeting minutes and distributes them promptlyto board members and other relevant parties. Follow up on actionsand decisions in a timely manner.
    • Assists in thepreparation of presentation materials and reports for board andassociated meetings.
    • Oversees and administers theday-to-day activities of the Board Management Office, including themanagement of board meeting logistics, (catering, AV equipment,visas and any necessary travel arrangements, ensuring they arewithin the Board Management Office budget. Board Governance andCompliance
    • Stays up-to-date with corporate governanceregulations and compliance requirements.
    • Assists inmaintaining board policies, bylaws, and charters, and suggestsimprovements where necessary.
    • Coordinates with legal andcompliance teams to ensure all documentation submitted to the Boardand Standing Committees are in compliance to regulations anddisclosure requirements. Communication and Correspondence
    • Acts as a liaison between the board of directors andexecutive leadership, including liaison with relevant Governmentbodies and external stakeholders.
    • Handles incoming andoutgoing correspondence on behalf of the board and keepingup-to-date records, as necessary.
    • Assists in draftingand editing board-related documents, resolutions, and reports.
    Board Development and Training

    • Facilitates boardorientation and training for new Governors and ensuring allnecessary documentation in relation to the onboarding isup-to-date.
    • Organizes continuing education opportunitiesfor board members to enhance their governance skills, in liaisonwith the Board Secretary.
